In the event that the previous exclusion of liability is determined to be unenforceable by a court of competent jurisdiction, the parties consent to a limitation on the Zenith Estate Management Parties' liability to you, capped at a maximum of one hundred dollars.​

To the broadest extent permitted by the law, these disclaimers of liability apply to all damages or injuries arising from or related to the use of, or inability to use, the Service, under any cause or action within any jurisdiction, including but not restricted to actions predicated on breach of warranty, breach of contract, or tort (including negligence).​

You pledge to indemnify, protect, and hold the Zenith Estate Management Parties harmless at all times from any claims, causes of action, damages, liabilities, demands, costs, and expenses, encompassing reasonable attorneys' fees, filed by any third party owing to or resulting from your use or misuse of the Site or Services, your breach of this Agreement or the documents referenced herein, or your violation of any law or the rights of a third party.​

SECTION 9 - GOVERNING LAW AND DISPUTE RESOLUTION: 


The laws governing the interpretation of this Agreement are those of Texas, supplemented by applicable federal law, and irrespective of any conflicting legal provisions. You consent to submit to the personal and exclusive jurisdiction of state and federal courts within Travis County, Texas. Furthermore, in the event of any dispute or claim arising from or connected to your use of the Site or the Services, you and the Company shall strive in good faith to negotiate a written resolution directly between the parties. If, after a notification (via certified mail or personal delivery) of the existence of a dispute, it remains unresolved for a period of forty-five (45) days, the matter shall be resolved through final and binding arbitration in Travis County, in accordance with the rules of the American Arbitration Association.​BOTH PARTIES IRREVOCABLY WAIVE THEIR RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDINGS ARISING FROM OR RELATED TO THIS AGREEMENT OR THE TRANSACTIONS IT CONTEMPLATES. FURTHERMORE, YOU CONCUR THAT DISPUTES RELATED TO YOUR UTILIZATION OF OUR SERVICES WILL BE SETTLED ON AN INDIVIDUAL BASIS, WITHOUT RESORTING TO ANY FORM OF CLASS ACTION.​

SECTION 10 – SEVERABILITY: 


In the event that any provision of this Agreement is determined to be unlawful, void, or unenforceable, such provision shall nevertheless be enforced to the fullest extent permitted by applicable law. The unenforceable portion shall be considered severed from this Agreement, with such determination having no bearing on the validity and enforceability of the remaining provisions.​

SECTION 11 – MISCELLANEOUS: 


(a) The Company administers and manages the Service from its offices within the United States of America. The Company makes no representation that the Service is suitable or accessible in other geographic locations. (d) You are prohibited from assigning this Agreement without the prior written consent of the Company, which may be withheld at the Company's sole discretion. Any attempt to assign this Agreement without such consent shall be rendered null and void. This anti-assignment provision shall not apply to any entity possessing the right to assign its written agreement with the Company relating to the Service. (e) The section headings utilized in this Agreement serve merely as a convenience and do not carry legal significance. (f) On the Company's request, you shall provide the Company with any documentation, substantiation, or releases necessary to verify your adherence to this Agreement. (g) You explicitly waive any defenses based on the electronic format of this Agreement and the absence of physical signatures by the parties for executing this Agreement.​

SECTION 12 - STATUTE OF LIMITATIONS: 


Both you and the Company concur that, notwithstanding any statute or law to the contrary, any claim or cause of action arising from or linked to the use of the Service or this Agreement (comprising the Privacy Policy) must be filed within ONE (1) YEAR after the occurrence of such claim or cause of action or will be eternally barred.​
